New York requires every LLC to have a registered agent. This applies whether you formed your LLC in New York or you are registering a foreign LLC to do business there. The state calls this person or company your "registered agent for service of process." If you do not designate one, the New York Secretary of State acts as your default agent, and legal documents get sent to whatever address the state has on file. That is not a reliable system.
A registered agent in New York must be one of the following: a New York resident with a street address in the state, a domestic or foreign corporation authorized to do business in New York, or a domestic or foreign LLC authorized to do business in New York. The agent must have a physical address (not a PO Box) and must be available to accept service during business hours.
You can be your own registered agent if you live in New York. If you are registering a foreign LLC and do not have a New York address, you need either a service or someone physically located there.
In New York, the registered agent receives service of process (lawsuit papers), Secretary of State notices, annual/biennial report reminders, and any official correspondence related to your LLC. The agent does not handle your regular business mail, tax filings, or banking documents.
New York law requires that the agent accept and forward these documents promptly. If a process server cannot reach your agent, they can serve the Secretary of State instead, which adds delays and risks missed deadlines.
New York is one of the few states that requires LLCs to publish a notice of formation or foreign qualification in two newspapers for six consecutive weeks. This is separate from the registered agent requirement but catches many business owners off guard because the cost varies wildly by county.
Manhattan and Brooklyn publications can run $1,000 to $1,500. Albany County publications cost around $200 to $400. New LLC formation: When you file your Articles of Organization with the NY Department of State, you designate your registered agent directly on the form. The filing fee is $200.
Foreign qualification: When you file your Application for Authority to register an out-of-state LLC in New York, you designate the agent on that form. The filing fee is $250.
Changing your agent: File a Certificate of Change with the Department of State. There is no fee for this filing in New York.
Most nationwide registered agent services have physical offices in New York. The two most commonly used for LLC owners are Northwest Registered Agent ($125/year) and Registered Agents Inc ($100 to $200/year). Both maintain actual street addresses in New York and scan documents electronically.
