Registered Agent for a Non-US Resident LLC: Why You Need One and Who to Use

You are in Berlin. You form a Wyoming LLC online, the process takes ten minutes, and then you hit a field that stops you: registered agent. It wants a physical street address inside Wyoming, staffed during business hours. You do not have one, and you cannot use your address in Germany.

This is the one part of forming a US LLC that a non-resident cannot do alone. Every state requires the LLC to name a registered agent with a physical address in the state of formation. The agent receives legal documents and state notices on the company's behalf. A US resident can list their own home or office. A non-resident living abroad has no in-state address, so a commercial registered agent is not optional. It is the thing that makes the filing go through.

Why you cannot be your own agent from abroad

Three rules block it. The agent's address must be a physical street address in the formation state, so a foreign address fails. It cannot be a PO box or a private mailbox listed as the legal address, so a mail service alone does not satisfy it. And the agent has to be available at that address during business hours to accept service of process in person, which someone living overseas cannot do. A commercial registered agent exists to meet all three.

There is a second reason that matters more for a non-resident than for a local owner. The registered agent's address goes on the public formation record. If you had a US address and used it, that address would be published. A commercial agent puts its own address on the public listing instead, which keeps your personal address off the record in every state.
