Order online through the LARA corpfileonline portal. The certificate comes as a certified PDF with a LARA seal. In-person pickup at the Lansing office is $12.

Important to know about Michigan

  • The Michigan LLC Annual Statement ($25, due February 15) must be current. Failure to file for two consecutive years leads to loss of good standing, not automatic dissolution of the LLC. Restoration requires a $50 certificate fee plus the missing $25 annual statements.
  • An uncertified printout from the LARA Business Entity Search is free but is not a Certificate of Good Standing. Third parties will not accept it. Pay the $10 for the certified version.
  • Michigan PLLCs (Professional LLCs) pay $75 for the combined annual report and statement, not $75 plus the regular LLC's $25. A $50 late penalty applies after February 15. These PLLC fees do not apply to regular LLCs.
