How to order it
- Clear any past-due filings first. The Mississippi SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.

Important to know about Mississippi
- Mississippi domestic LLC Annual Reports are FREE ($0 fee), due April 15 each year. But they are still mandatory. Watch for third-party solicitations invoicing fees for "annual report preparation" - these are not from the state. File directly on the SOS site.
- Foreign LLC annual reports do have a fee ($250) and must be current for the Certificate of Good Standing to issue.
- Reinstatement of an administratively dissolved Mississippi LLC requires a tax clearance letter from the Department of Revenue before the SOS will accept a reinstatement filing. Allow extra time if the entity is currently not in good standing.
