How to order it

  1. Clear any past-due filings first. The Puerto Rico Department of State will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.

Act 164-2009 sets $20 for any certificate the Secretary of State issues, including a certificate of compliance, and $100 for a certificate listing every filing an LLC has made. A certified copy of a filed document is $20 and a certification of specific information from an entity record is $30. The Department of State does not publish a price for this certificate on its LLC list, so $20 is the statutory figure and may be higher in practice. Puerto Rico tax clearances are separate documents and come from the Departamento de Hacienda, not from the Department of State.

Important to know about Puerto Rico

  • Paying the annual fee is what keeps the certificate obtainable. An LLC that has not paid ceases to be authorised to do business under Act 164-2009.
  • The Department of State does not issue tax clearance. Puerto Rico tax certifications come from the Departamento de Hacienda and are a different document that banks and agencies often ask for by name.
  • The $20 comes from the statute rather than from a Department of State price list. Budget for more.
