Important to know about Puerto Rico

  • Paying the annual fee is what keeps the certificate obtainable. An LLC that has not paid ceases to be authorised to do business under Act 164-2009.
  • The Department of State does not issue tax clearance. Puerto Rico tax certifications come from the Departamento de Hacienda and are a different document that banks and agencies often ask for by name.
  • The $20 fee is set by law, but the Department of State publishes no current LLC price, and an older order listed $15. Check the price when you order.
