Nevada requires the name and address of each initial manager, or each initial member if member-managed, on the Articles of Organization (NRS 86.161), plus an Initial List and Annual List of managers or managing members. A single-member, member-managed Nevada LLC names its owner on the public formation document. Initial List and Business License fees ($350 combined) are due by the end of the first month following formation. Do not assume you have a full year to pay.

Activities that do NOT require registration in Nevada
The following activities are explicitly carved out by statute. On their own, they do not require a foreign LLC to register in Nevada.
- Maintaining or defending a lawsuit
- Holding meetings of members or managers
- Maintaining bank accounts
- Conducting isolated transactions completed within 30 days
Nevada's Limited-Liability Companies Act, codified at Chapter 86 of the Nevada Revised Statutes, lists activities at NRS 86.5483 ('Activities not constituting transaction of business'). The list applies for purposes of NRS 86.543 to 86.549 inclusive. Nevada-specific items in the list include production of motion pictures (subsection (k)) and out-of-state depository institution activity (subsection (l)). The previous citation to NRS 86.544 was incorrect (86.544 is the foreign LLC registration filing requirement, not safe harbors).
