What does NOT require registration in Virginia 12 activities

Virginia carves 12 activities out by statute. On their own, none of them requires a foreign LLC to register.

  • Maintaining, defending, or settling any proceeding
  • Holding meetings of members or carrying on internal company affairs
  • Maintaining bank accounts
  • Maintaining offices or agencies for transfer, exchange, and registration of the company's own securities
  • Selling through independent contractors
  • Soliciting or obtaining orders, if the orders require acceptance outside Virginia
  • Creating or acquiring indebtedness, deeds of trust, and security interests in property
  • Securing or collecting debts, or enforcing deeds of trust and security interests
  • Owning real or personal property, and nothing more
  • Conducting an isolated transaction completed within 30 days that is not one of repeated transactions
  • Motion picture, television, or commercial production activity for less than 90 consecutive days
  • Serving only as a general partner of a limited partnership that does not otherwise transact business in Virginia
