Note: Illinois offers two processing tiers: routine (10 business days) at $25, or expedited (24 hours) at $75 ($25 base + $50 expedite). You can choose either tier whether filing online or by mail. Online filings via the dedicated portal also incur a small credit card processing surcharge. Mail filings must include Form LLC-1.36/1.37 in duplicate. Fax filings are no longer accepted. The Secretary of State will reject any change-of-agent filing if your LLC is not in good standing.

How to change your registered agent in Illinois

  1. Choose your new registered agent first. Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Illinois SOS can administratively dissolve your LLC.
  2. Get the Statement of Change of Registered Agent and/or Registered Office (Form LLC-1.36/1.37). Download the form ↗ You can file this online through the Illinois Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.
  3. Pay the $25 filing fee. Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the Illinois Secretary of State.
  4. Notify your old agent. Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.
  5. Verify the change in state records. Search your LLC name on the Illinois SOS business search and confirm the new registered agent is listed. Processing typically takes 10 business days for routine mail filing; 24-48 hours for online or expedited mail, so check back after that window.

  • Online filing offers both $25 routine (10-day) and $75 expedited (24-hour) tiers - it is not automatically the expedited option.
  • If your LLC is not in good standing (annual report unpaid or other compliance lapse), the change-of-agent filing will be rejected.
