Note: Minnesota charges $35 by mail, but $55 for online or in-person filings (Minnesota automatically applies a $20 expedite fee to all non-mail filings, even when you do not request expedited service). Foreign LLCs pay $55 by mail or $70 online/in-person. File the Notice of Change of Registered Office/Registered Agent through the Minnesota Business Lookup & Services portal, by mail to 60 Empire Drive, Suite 100, Saint Paul MN 55103, or in person. The new registered agent does not need to sign the form - the LLC files it directly.

How to change your registered agent in Minnesota

Choose your new registered agent first.
Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Minnesota SOS can administratively dissolve your LLC.

You can file this online through the Minnesota Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.

Pay the $35 filing fee.
Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the Minnesota Secretary of State.

Notify your old agent.
Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.

Verify the change in state records.
Search your LLC name on the Minnesota SOS business search and confirm the new registered agent is listed. Processing typically takes Same business day for online or in-person (both auto-expedited); 7-10 business days for mail, so check back after that window.
Important to know about Minnesota
- Minnesota auto-charges a $20 expedite fee on all online and in-person filings. The $35 mail rate is the only way to avoid the expedite charge.
- Foreign LLCs pay more: $55 by mail, $70 online or in-person.
- You cannot change the registered agent through the annual renewal form alone - you must file the separate Notice of Change with its own fee.
