Note: New Jersey LLCs file Form L-122 with the Division of Revenue and Enterprise Services, online, by mail, by fax, or in person. The fee is $25 in all cases. Alternatively, you can update the registered agent during your annual report filing for an additional $25 on top of the $50 annual report fee. Mail filings require the form in duplicate. Make checks payable to "Treasurer, State of New Jersey".

How to change your registered agent in New Jersey

  1. Choose your new registered agent first. Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the New Jersey SOS can administratively dissolve your LLC.
  2. Get the Certificate of Change - Registered Name or Address, or Both (Form L-122). Download the form ↗ You can file this online through the New Jersey Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.
  3. Pay the $25 filing fee. Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the New Jersey Secretary of State.
  4. Notify your old agent. Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.
  5. Verify the change in state records. Search your LLC name on the New Jersey SOS business search and confirm the new registered agent is listed. Important to know about New Jersey

  • All filings must be typed, not handwritten. The Division of Revenue routinely rejects handwritten paper forms.
  • Mail filings require Form L-122 in duplicate.
  • You can update the registered agent during your annual report filing instead of filing a separate Certificate of Change. The annual report is $50 plus $25 for the agent change.
  • Make checks payable to "Treasurer, State of New Jersey", not "Secretary of State". Write the LLC number on the top left of your check.
