Note: North Carolina charges just $5 to change the registered agent - one of the lowest fees in the country. Online filings carry an additional small processing surcharge (around $3), bringing the online total to about $8. File Form BE-06 (Statement of Change of Registered Office and/or Registered Agent) online through the NC SOS portal, by mail to PO Box 29622, Raleigh NC 27626, or in person. The new registered agent must sign a written consent. Important: North Carolina law requires you to update registered agent information within 60 days of any change. Failure to update is grounds for administrative dissolution.

How to change your registered agent in North Carolina

  1. Choose your new registered agent first. Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the North Carolina SOS can administratively dissolve your LLC.
  2. Get the Statement of Change of Registered Office and/or Registered Agent (Form BE-06). Download the form ↗ You can file this online through the North Carolina Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.
  3. Pay the $5 filing fee. Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the North Carolina Secretary of State.
  4. Notify your old agent. Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.
  5. Verify the change in state records. Search your LLC name on the North Carolina SOS business search and confirm the new registered agent is listed. Processing typically takes 3-5 business days for online; 7-10 business days for mail; same-day expedite available for $200; 24-hour expedite for $100, so check back after that window.

Important to know about North Carolina

  • You must update the registered agent within 60 days of any change. Missing this deadline is grounds for administrative dissolution under NC law.
  • You cannot change the registered agent through the online annual report. If you need to change the agent during your annual filing, you must print the paper version, get the new agent's signature, and submit by mail.
  • A single shared form (BE-06) covers all entity types - LLCs, corporations, LPs, LLPs.
  • Online filings include a small processing surcharge (around $3) on top of the $5 state fee.
