Note: Ohio uses the term "statutory agent" rather than "registered agent" - they refer to the same role. File Form 521 with the Ohio Secretary of State online through Ohio Business Central (the recommended path) or by mail. The new statutory agent must sign the Acceptance of Appointment on the form. Ohio is one of the few states that does not require LLCs to file annual reports, so the change of agent is always a standalone filing - you cannot bundle it with an annual filing to save the fee. How to change your registered agent in Ohio

Choose your new registered agent first.
Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Ohio SOS can administratively dissolve your LLC.

You can file this online through the Ohio Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.

Pay the $25 filing fee.
Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the Ohio Secretary of State.

Notify your old agent.
Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.

Verify the change in state records.
Search your LLC name on the Ohio SOS business search and confirm the new registered agent is listed. Processing typically takes 4-6 business days for mail/fax; expedited tiers available ($100 for 2-day, $200 for 1-day, $300 for 4-hour), so check back after that window.
Important to know about Ohio
- Ohio uses "statutory agent" instead of "registered agent" - same role, different name.
- Ohio LLCs do not file annual reports, so this change cannot be bundled with another filing to save money. The $25 fee is unavoidable.
- Forms must be typed - illegible or handwritten forms are routinely rejected.
- Statutory agent address must be a physical Ohio street address. P.O. boxes and CMRA addresses are not allowed (rural route exception aside).
