Or stop being a Wyoming LLC

Registering in Kansas is one answer. The other is to move the LLC to Kansas and stop paying Wyoming, a filing called domestication. The LLC keeps its EIN, bank accounts and contracts; only its state of formation changes.

Register in Kansas, keep Wyoming

Move the LLC to Kansas
$170/year
Keeping both states costs $185 more a year: two annual filings and two registered agents instead of one. Figures are state recurring charges plus one Northwest registered agent per state at $125 a year. The one-time filings are $60 to leave Wyoming and $165 to arrive in Kansas ($75 for the filing plus $90 for its articles of organization), before any service fee. Worth doing only if Wyoming is doing nothing for you beyond having been the state you filed in.

Foreign business entities must file on paper, so the one timing statement the Secretary of State does publish, that an online domestic formation is processed within minutes, does not reach this filing. Kansas sells no expedited service either, so there is no purchased turnaround to fall back on.

Important to know about Kansas

  • Foreign LLCs cannot register online. Kansas accepts the foreign application on paper only, at $115, the single figure form FA prints for every foreign entity type. Several national guides still publish the previous $165 figure, and a fee computed from the February 2026 regulations gives $90, which is not what the form charges.
  • The Information Report is biennial, not annual, at $90 online and $110 by paper.

If your LLC did business in Kansas before filing, check the Kansas foreign LLC penalty guide first. Back fees can run from the date you started, not the date you file.

What does NOT require registration in Kansas 11 activities

Kansas carves 11 activities out by statute. On their own, none of them requires a foreign LLC to register.

  • Maintaining, defending, or settling an action or proceeding
  • Holding meetings, or carrying on any other internal affairs of the entity
  • Maintaining bank accounts
  • Maintaining offices or agents to transfer, exchange, or register the entity's own securities, or maintaining trustees or depositories for them
  • Selling through independent contractors
  • Soliciting or taking orders, if the orders must be accepted outside Kansas before they become contracts
  • Selling machinery, plants, or equipment under a contract signed outside Kansas and sending in technical engineers or skilled workers only to supervise its construction, erection, or installation
  • Creating or acquiring debt as borrower or lender, with or without a mortgage or security interest in property
  • Securing or collecting debts, foreclosing security interests, and holding or maintaining property acquired that way
  • Conducting an isolated transaction completed within 30 days that is not one of a series of similar transactions
  • Transacting business in interstate commerce

Under K.S.A. 17-7932. Kansas has NO property-ownership safe harbor. It adds an equipment-installation carve-out not found in the uniform act.
