How to order it
- Clear any past-due filings first. The Colorado SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
- Order it online. Search your LLC in the Colorado portal, request the certificate, and download it. Link in the table above.
- No state fee to pay. The standard certificate is free. A signed paper copy or expedited handling may add a small fee.
- Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

Colorado offers the Certificate of Good Standing at no cost through the Secretary of State website. Search for the entity, then select "Get a Certificate of Good Standing" from the Summary page. The certificate includes a confirmation number that third parties can validate online for up to 12 months.

Important to know about Colorado
- The Periodic Report ($25/year) must be current or a certificate cannot be issued. If the status is anything other than "Good Standing," the certificate option is hidden from the Summary page.
- Effective July 1, 2025, Colorado changed its registered agent requirements under HB24-1137. Non-Colorado-resident agents must complete a physical passcode mailer process. An LLC with a non-compliant registered agent may lose good standing even if Periodic Reports are current.
- Third-party services sometimes mail solicitation letters offering to sell Colorado Certificates of Good Standing for fees of $50 or more. The official certificate is always free direct from the SOS website.
