How to order it

  1. Clear any past-due filings first. The Nevada SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Order it online. Search your LLC in the Nevada portal, request the certificate, and download it. Link in the table above.
  3. Pay the $50 fee. Pay by card at checkout. A small card surcharge usually applies.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

Nevada issues a Certificate of Existence (the state term for Certificate of Good Standing) through the Secretary of State at $50 via SilverFlume (nvsilverflume.gov). Log in to SilverFlume, locate the entity, and select "Good Standing Certificate" on the dashboard. Payment is by credit card and the certificate is immediately downloadable if the entity is current on the Annual List of Managers/Members ($150) and the State Business License renewal ($200). Mail/fax requests are accepted but add 3-5 business days. Both the Annual List and the State Business License must be current for a Certificate of Existence to issue.

Important to know about Nevada

  • Nevada requires TWO annual filings to maintain good standing: the Annual List of Managers/Members ($150) and the State Business License renewal ($200), both due by the last day of the anniversary month. Total annual cost is $350 - among the highest in the country.
  • Missing the Annual List deadline triggers a $75 late penalty (NRS 86.272). Missing the Business License renewal triggers a $100 late penalty (NRS 76.130). Both must be paid before good standing is restored.
  • After two years of delinquency, Nevada revokes the LLC charter under NRS 86.276. Reinstatement requires paying all back fees plus reinstatement penalties.
  • The Certificate of Existence is distinct from the Annual List filing. Both documents cite similar information but serve different purposes - the Annual List is an internal state filing, the Certificate is for third-party use.
  • Nevada does not offer the Certificate at the $200 State Business License renewal step - it must be ordered separately through SilverFlume even if your filings are current.
