Delaware fines an unregistered foreign LLC $200 for each year or part of a year of doing business without registration (6 Del. C. s. 18-907(d)), and closes the courthouse doors: the company can't maintain any action, suit, or proceeding in Delaware until it registers and pays all fees and penalties for the unregistered years. Once registered, Delaware's annual LLC tax ($300/year through the 2025 period, $400/year from the 2026 period) applies, with a $200/year late penalty and 1.5% monthly interest, and the Delaware Attorney General can sue in the Court of Chancery to recover delinquent annual taxes. Contracts and personal liability are preserved.

You can file the foreign qualification yourself directly with the Delaware Secretary of State for the standard filing fee. The application looks straightforward, but rejections are common. A wrong form version, a missing certificate of good standing from your home state, or a name conflict with an existing entity will bounce the filing and reset the clock by two to three weeks. Every week you stay unregistered is another week of penalty accrual.
