Note: Indiana charges no fee to change the registered agent. File Form 56367 online through INBiz (inbiz.in.gov) or by mail to the Indiana Secretary of State, Business Services Division, 302 W. Washington Street, Room E018, Indianapolis IN 46204. The new registered agent must consent to serve, but the consent does not need to be filed with the state - the box on the form attests to it. You can also update the registered agent for free during your biennial Business Entity Report filing.

How to change your registered agent in Indiana

  1. Choose your new registered agent first. Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Indiana SOS can administratively dissolve your LLC.
  2. Get the Statement of Change of Registered Agent (Form 56367). Download the form ↗ You can file this online through the Indiana Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.
  3. Pay the Free filing fee. Indiana does not charge a state filing fee for this change. The only cost is what you pay your new registered agent.
  4. Notify your old agent. Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.
  5. Verify the change in state records. Search your LLC name on the Indiana SOS business search and confirm the new registered agent is listed. Processing typically takes Same business day for online filings; several business days for mail, so check back after that window.

Important to know about Indiana

  • Indiana files reports biennially (every 2 years), not annually. You can change the agent during the biennial Business Entity Report at no extra cost.
  • Use the dedicated Statement of Change form (free), not the Articles of Amendment (which costs $30 online or by mail).
  • Three different "Statement of Change" forms exist on the INBiz site - make sure you grab the standard "Statement of Change of Registered Agent" (Form 56367) and not the "Noncommercial Registered Agent" or commercial agent variants.
