Note: Nebraska charges $25 online and $30 by mail for LLC registered agent changes (per Neb. Rev. Stat. �21-192). The filing is electronic via the eDelivery service - upload a signed PDF of the Statement of Change form. Mail filings require two copies (in duplicate). Mail to PO Box 94608, Lincoln NE 68509. Make checks payable to "Secretary of State." LLCs file biennial reports in odd-numbered years - the change cannot be bundled into the biennial report.

How to change your registered agent in Nebraska

Choose your new registered agent first.
Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Nebraska SOS can administratively dissolve your LLC.

You can file this online through the Nebraska Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.

Pay the $25 filing fee.
Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the Nebraska Secretary of State.

Notify your old agent.
Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.

Verify the change in state records.
Search your LLC name on the Nebraska SOS business search and confirm the new registered agent is listed. Processing typically takes 1-2 business days for online; 3-4 business days for mail, so check back after that window.

- Nebraska is one of the states where online is cheaper than mail ($25 vs $30) - the $5 "digital discount" is statutory.
- eDelivery requires a signed PDF upload, not a fillable web form. You must download, complete, sign, and re-scan or PDF the form before uploading.
- No expedited processing option exists in Nebraska. If you need fast turnaround, the only option is filing online.
