Nebraska LLC Penalty for Not Registering

Operating in Nebraska without a certificate of authority can bar your LLC from Nebraska courts and create back-fee exposure. See the consequences and next steps below.

No flat fine, but you lose court access + AG enjoinment

Nebraska sets no fine for a foreign LLC that does business without registering. It cannot bring a case in a Nebraska court until it registers, and the Attorney General can go to court to stop it doing business. Contracts stay valid and owners are not personally liable. The $500-a-day penalty some websites quote applies to foreign corporations, not LLCs.

What's at stake If you don't register Severity
Civil penaltyNo flat civil penalty in the statute, but this does not mean free. Other filing or tax costs may apply, along with the loss of court access (see below). For an LLC trying to enforce a contract or collect a debt, the closed-door rule is often more expensive than any flat fine would be.Medium
Back fees on cureStandard registration fees apply on cure. The statute does not specify a separate retroactive assessment, but the state may still collect missed report fees.Medium
Right to sue in state courtClosed. You cannot bring or maintain any lawsuit in state court until you register. If you need to sue a customer, a partner, or a vendor, you have to register first. You can still defend yourself if someone sues you.High
Contract validityContracts generally remain valid, but registration may be required before you can sue to enforce them.Low
Personal liabilityYour personal assets are still protected by the LLC. Failing to register does not by itself pierce the corporate veil. Other liability theories like veil-piercing, personal guarantees, and fraud are unaffected.Low
State tax exposurePossible. Nebraska imposes corporate income tax at 4.55% for tax year 2026 on LLCs taxed as corporations, falling to 3.99% in 2027. LLCs taxed as partnerships or disregarded entities pass through to members. Sales tax (5.5% statewide plus local) and other state taxes apply under separate Nebraska Department of Revenue rules.Medium
How it gets enforcedThe Attorney General can bring enforcement proceedings under the cited statute. Timing and outcomes depend on the case.N/A

Here's how to fix it before any of this catches up to you.

You can file the foreign qualification yourself directly with the Nebraska Secretary of State for the standard filing fee. A wrong form version, a missing certificate of good standing from your home state, or a name conflict with an existing entity can delay approval. Check the form and required documents before submitting. The consequences of remaining unregistered are described above; they do not all accrue weekly.

File it yourself$110 + $125 = $235, the state fee plus a registered agent for the year

Have Northwest file it$110 + $225 = $335, the state fee plus the service, one year of registered agent included

These totals cover registration and the listed service only. Back fees, penalties, taxes and required attachments are extra. The DIY example includes a paid agent. State fees paid by card through Northwest carry a 2.7% card charge. Both routes leave you with the same registered agent obligation from year two.
