Note: South Dakota charges $10 online via the SOS Enterprise portal at sosenterprise.sd.gov. Paper filings add a $15 manual processing fee ($25 total). Both online and paper use the same form. Mail filings require the form in duplicate. Expedited processing is available for an additional $50 (same-day). The registered agent does not need to sign the form, and signatures do not need to be original.

How to change your registered agent in South Dakota

Choose your new registered agent first.
Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the South Dakota SOS can administratively dissolve your LLC.

You can file this online through the South Dakota Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.

Pay the $10 filing fee.
Pay by credit card during the online filing. A small processing surcharge usually applies. Mail filings accept check or money order made out to the South Dakota Secretary of State.

Notify your old agent.
Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.

Verify the change in state records.
Search your LLC name on the South Dakota SOS business search and confirm the new registered agent is listed. Processing typically takes 2 business days standard; same-day for $50 expedite fee, so check back after that window.

- South Dakota is one of a handful of states where you cannot change the registered agent through an amendment to Articles of Organization - you must use the dedicated Statement of Change form. Amendments cost $60 and are more expensive than the $10 standalone filing.
