Important to know about Virginia

  • Virginia LLCs file no conventional annual report. The recurring $50 is an annual registration fee assessed by the State Corporation Commission, which is why searching for a Virginia annual report turns up little.

  • Maintaining offices or agencies for transfer, exchange, and registration of the company's own securities
  • Selling through independent contractors
  • Soliciting or obtaining orders, if the orders require acceptance outside Virginia
  • Creating or acquiring indebtedness, deeds of trust, and security interests in property
  • Securing or collecting debts, or enforcing deeds of trust and security interests
  • Owning real or personal property, and nothing more
  • Conducting an isolated transaction completed within 30 days that is not one of repeated transactions
  • Motion picture, television, or commercial production activity for less than 90 consecutive days
  • Serving only as a general partner of a limited partnership that does not otherwise transact business in Virginia
