Important to know about Oregon

  • Foreign LLCs pay $275 for the annual renewal against $100 for domestic, one of the widest gaps in the country.
  • A multi-member LLC actively doing business in Oregon owes a $150 partnership minimum tax. A single-member LLC owes nothing, and neither does a multi-member LLC with no activity to report.

What does NOT require registration in Oregon 11 activities

Oregon carves 11 activities out by statute. On their own, none of them requires a foreign LLC to register.

  • Maintaining, defending or settling any proceeding
  • Holding meetings of the managers or members, or carrying on other activities concerning internal affairs
  • Maintaining bank accounts
  • Maintaining offices or agencies for the transfer, exchange and registration of the company's own securities, or maintaining trustees or depositories for them
  • Selling through independent contractors
  • Soliciting or obtaining orders, by mail or through employees or agents, if the orders require acceptance outside Oregon before they become contracts
  • Creating or acquiring indebtedness, mortgages and security interests in real or personal property
  • Securing or collecting debts, or enforcing mortgages and security interests in property securing the debts
  • Owning real or personal property, and nothing more
  • Conducting an isolated transaction completed within 30 days that is not one of repeated transactions of a like nature
  • Transacting business in interstate commerce

Under ORS 63.701(2). The list is expressly non-exhaustive under subsection (3), and it says nothing about employees generally: paragraph (f) covers soliciting orders that are accepted outside Oregon, not a remote worker doing the company's actual work. The Secretary of State publishes separate guidance at https://sos.oregon.gov/business/Pages/doing-business-means.aspx stating that hiring an Oregon-resident remote worker does not automatically require registration, but the same page treats having an office, or employees providing services to customers as the primary business activity, as clearly doing business. Treat a remote hire as fact-dependent rather than safe.
