Note: Massachusetts has one of the highest combined foreign qualification and annual report fees in the country. The Application for Registration is $500 under 950 CMR 112.00 and cannot be filed electronically at all. Only mail, hand delivery and fax are accepted, and fax adds a $20 expedite charge for $520. The $20 belongs to the filing channel, not to the statutory fee.

  • Massachusetts has one of the highest combined foreign qualification and annual report costs in the country, at $500 each before surcharges. The foreign registration cannot be filed electronically at all. The annual report can, and filing it electronically or by fax adds $20, making it $520.

Activities that do NOT require registration in Massachusetts

  • Maintaining, defending, or settling any proceeding
  • Holding meetings of directors or shareholders, or carrying on internal corporate affairs
  • Maintaining bank accounts
  • Maintaining securities transfer or registration offices, or trustees or depositories for those securities
  • Selling through independent contractors
  • Soliciting or obtaining orders, if the orders require acceptance outside Massachusetts to become contracts
  • Conducting an isolated transaction that is not one of repeated transactions of a like nature
  • Transacting business in interstate commerce
  • Performing activities regulated under the banking chapter or the insurance chapter, if the company has complied with that chapter

Under M.G.L. c. 156D Section 15.01(c). Chapter 156C has no list of its own and borrows the corporate one. Nine items; the numbering skips (7) and (8). NO time limit on the isolated-transaction item, and NO indebtedness or debt-collection items. CRITICAL: subsection (b) affirmatively provides that ownership or leasing of Massachusetts real estate, construction or repair work, and any activity requiring the performance of labor DO constitute transacting business. Registration is due within ten days of commencing business.
