How to order it

  1. Clear any past-due filings first. The New York SOS will not issue a certificate while you have unpaid tax or an unfiled report. The state-specific requirements are in the points below.
  2. Request it by mail or fax. New York has no online option for this document. Send a written request with payment authorization to the Secretary of State.
  3. Pay the $25 fee. Include payment made out to the New York Secretary of State with your request.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

New York calls this a "Certificate of Status" - also known as Certificate Under Seal, Certificate of Good Standing, or Certificate of Existence in other contexts. The fee is $25 and the certificate cannot be ordered online, by email, or by phone. Submit a written request by mail or fax to the NY Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany NY 12231. Fax: (518) 473-1654 (requires Credit Card/Debit Card Authorization Form). The certificate confirms the LLC exists, has perpetual duration, has not filed Articles of Dissolution, and may indicate if any biennial statement is past due.

Important to know about New York

  • New York is one of the few states that does NOT allow online ordering of the Certificate of Status. Mail or fax only. Unusual for 2026.
  • The biennial statement (filed every 2 years for a $9 fee) must be current before a Certificate of Status will be issued. Past-due biennial statements can result in rejection or a status note on the certificate.
  • Routine processing takes 2-3 business days. If you need it faster, expedite tiers run $25 (24-hour), $75 (same-day), or $150 (2-hour). The expedited fee is on top of the $25 base.
  • Mark your envelope "Expedited Processing" if filing by mail with expedite request - omitting this gets it queued for routine processing even if you paid the expedite fee.
