How to order it

  1. Clear any past-due filings first. Check your entity status with the New York SOS and resolve the requirements below. Tax clearance may be a separate document.
  2. Request it by mail or fax. New York has no online option for this document. Send a written request with payment authorization to the Secretary of State.
  3. Pay the $25 fee. Include payment with your request. Confirm the exact payee on the form, because it is not the Secretary of State in every state.
  4. Use it inside the recipient's window. The certificate has no state expiration, but banks and other states usually want one dated within the last 30 to 90 days. Order it close to when you need it.

New York calls this a "Certificate of Status" - also known as Certificate Under Seal, Certificate of Good Standing, or Certificate of Existence in other contexts. The fee is $25 and the certificate cannot be ordered online or by telephone. Submit a written request by mail, by hand, by email, or by fax with the Credit Card/Debit Card Authorization Form to the NY Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany NY 12231. The certificate confirms the LLC exists, has perpetual duration, has not filed Articles of Dissolution, and may indicate if any biennial statement is past due.

Processing and expedited tiers: returned by first-class mail. Expedite tiers $25 (24hr) / $75 (same day) / $150 (2hr)

Important to know about New York

  • New York does not allow online ordering of the Certificate of Status. Mail or fax only, which is unusual for 2026.
  • The biennial statement is filed every 2 years for a $9 fee. The Department of State says a Certificate of Status will reflect a past-due biennial statement; a missing statement does not automatically prevent issuance. The recipient may still require you to bring the filing current.
  • The base fee is $25 and the certificate comes back by first-class mail; the Department publishes no routine turnaround. Expedite tiers run $25 (24-hour), $75 (same-day) or $150 (2-hour) per document, on top of the $25 base. Certificates of Status cannot be ordered online or by telephone.
  • Mark your envelope "Expedited Processing" if filing by mail with expedite request - omitting this gets it queued for routine processing even if you paid the expedite fee.
