Note: New York LLCs are not required to designate a registered agent; the New York Department of State serves as the default agent for service of process under LLC Law sections 302 and 211-A. File the Certificate of Change only if you want to designate, change, or revoke an agent, or update the service-of-process address or county. How to change your registered agent in New York

  1. Choose your new registered agent first. Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the New York SOS can administratively dissolve your LLC.
  2. Get the Certificate of Change for Domestic Limited Liability Companies (Form DOS-1359-f). Download the form ↗ Wyoming and several other states require paper filing. Print the form, fill it in, and have the new registered agent sign the consent section. Both the change form and any required consent form must be submitted to the New York Secretary of State.
  3. Pay the $30 filing fee. Mail filings accept check or money order made out to the New York Secretary of State. Include payment with the form.
  4. Notify your old agent. Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.
  5. Verify the change in state records. Search your LLC name on the New York SOS business search and confirm the new registered agent is listed. Processing typically takes 2-3 weeks by mail; expedited available for $25-$150 extra, so check back after that window.

Important to know about New York

  • NY does not require an LLC to have a registered agent; the Department of State is the default agent for service of process. You only need to file this form if you are designating, changing, or revoking one.
  • The Certificate of Change cannot be filed online. Mail, fax, or in-person only.
  • Checks must be payable to "Department of State", not "Secretary of State".
