Note: Oregon charges no fee to change the registered agent. File the Information Change Form online through the Oregon Business Registry (the same portal used for annual reports), or by mail or fax to the Oregon Secretary of State Corporate Division. Online filings update immediately - mail can take 6-8 weeks. The new registered agent must consent to the appointment, but the consent does not need to be filed separately. You can also update the registered agent for free during your annual report ($100/year), but the change-of-agent form by itself is free.

How to change your registered agent in Oregon

Choose your new registered agent first.
Do not file the change form until you have a new agent lined up. The new agent has to consent to the appointment, and most states will not process the change without that consent in hand. If you let coverage lapse, the Oregon SOS can administratively dissolve your LLC.

You can file this online through the Oregon Secretary of State portal. The form requires your LLC name, the new agent name and address, and a signature. The new agent must consent to the appointment.

Pay the Free filing fee.
Oregon does not charge a state filing fee for this change. The only cost is what you pay your new registered agent.

Notify your old agent.
Once the change is processed, your old agent's responsibility ends. If you are paying them an annual fee, cancel that subscription so it does not auto-renew. Most services prorate or refund the unused portion.

Verify the change in state records.
Search your LLC name on the Oregon SOS business search and confirm the new registered agent is listed. Processing typically takes Updates immediately for online filings; 6-8 weeks for mail, so check back after that window.

- Oregon is one of the easiest states for this filing - free, online, and processed immediately.
- The new agent must have a physical Oregon street address. P.O. boxes, commercial mail receiving agencies, mail-forwarding businesses, and virtual offices are all prohibited.
- Mail filings can take 6-8 weeks to process. Use the online portal unless you have a specific reason for paper.
