Thinking of forming in Delaware instead of Texas? $1,085 more in year one

If the business operates in Texas, a Delaware LLC still has to register in Texas as a foreign LLC. Here is what each route costs in state fees plus one Northwest registered agent per state at $125 a year.

Form in Texas, year one
$425
Form in Delaware, register in Texas, year one

Form in Texas, each year after
$125
Form in Delaware, register in Texas, each year after
$650
Forming in Delaware and operating in Texas costs $1,085 more in year one and $525 more every year after, because the LLC still has to register in Texas and still pays Texas's recurring charges. The Delaware formation is not saving you anything. Figures are state fees from each state's published schedules plus the agent; they leave out federal tax, which does not change with the state you form in, and any local licences.
