Step-by-step foreign qualification requirements, fees, and filing instructions for Nevada LLCs expanding into Oregon.
Registering in Oregon is one answer. The other is to move the LLC to Oregon, ending its formation-state registration in Nevada, a filing called domestication, which Oregon itself calls a conversion. The same LLC continues. A move alone normally does not require a new EIN. Check with your bank and review contracts for any notice or consent requirements.
A filing service, not a registered agent. It does not replace the agent Oregon requires.
Before filing, verify that your LLC name (or a distinguishable variation) is available in Oregon. If your exact name is already taken, you may need to register under a fictitious or assumed name.
Search the business name register on the Oregon Secretary of State website before you file.
Oregon usually requires no home-state certificate when a foreign LLC registers here, because it verifies status itself from a web-verifiable registry number. Where the home state publishes no online status search, a certificate dated within the last 60 days must be attached instead. If you do need one from Nevada, the fee is $50, and you can order it online.
Order from Nevada ↗You must designate a registered agent with a physical address in Oregon to accept legal documents on behalf of your LLC. This is required as part of the foreign qualification application.
Submit your application with the $275 filing fee. See the processing time under Ongoing compliance below. Online filing is available.
Oregon filing portal ↗Northwest files the foreign registration and serves as your registered agent in Oregon, which the filing requires. Only need an agent? Northwest's registered agent service alone is $125/year.

For post or fax it publishes a live processed-through date rather than a duration; on 13 August 2026 it was working Business Registry paper received on 4 August. The Secretary of State updates that table, so check it rather than relying on a stored figure

Oregon carves 11 activities out by statute. On their own, none of them requires a foreign LLC to register.
Under ORS 63.701(2). The list is expressly non-exhaustive under subsection (3), and it says nothing about employees generally: paragraph (f) covers soliciting orders that are accepted outside Oregon, not a remote worker doing the company's actual work. The Secretary of State publishes separate guidance at https://sos.oregon.gov/business/Pages/doing-business-means.aspx stating that hiring an Oregon-resident remote worker does not automatically require registration, but the same page treats having an office, or employees providing services to customers as the primary business activity, as clearly doing business. Treat a remote hire as fact-dependent rather than safe.
A virtual mailbox gives your LLC a separate address in Oregon for business mail. Confirm whether the state accepts it for the specific filing field. For banking, ask your bank before buying; it may require your actual operating address.
